AMONG OTHER ACTIVITIES, CUSTOM HEALTH CENTERS, Inc. dba ELEO’S SERVICES ENABLE COORDINATION AND COMMUNICATION WITH A LICENSED HEALTHCARE PROVIDER. THEY DO NOT REPLACE YOUR EXISTING RELATIONSHIP WITH ANY PHYSICIAN, NOR DO THEY ESTABLISH A PHYSICIAN-PATIENT RELATIONSHIP BETWEEN YOU AND ELEO OR ANY EMPLOYEE, CONTRACTOR, OR OTHER REPRESENTATIVE OF ELEO. ELEO DOES NOT PROVIDE MEDICAL SERVICES DIRECTLY. MEDICAL SERVICES ARE DELIVERED THROUGH A CONTRACTED NETWORK OF PHYSICIANS LICENSED IN THE STATE OF MICHIGAN.

THESE SERVICES MAY NOT BE SUITABLE FOR ALL MEDICAL CONDITIONS OR CONCERNS. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY OR A MENTAL HEALTH CRISIS, CONTACT YOUR HEALTHCARE PROVIDER OR DIAL 911 IMMEDIATELY. DO NOT USE THE SERVICES FOR EMERGENCY OR CRISIS CARE. DO NOT IGNORE OR DELAY PROFESSIONAL MEDICAL ADVICE BECAUSE OF INFORMATION YOU ACCESS THROUGH OUR SERVICES. ELEO IS NOT RESPONSIBLE FOR ANY ACTIONS OR INACTIONS OF ANY USER.

ARBITRATION NOTICE AND CLASS ACTION WAIVER

THIS AGREEMENT INCLUDES PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE YOU TO RESOLVE ANY DISPUTE WITH US THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN THROUGH A LAWSUIT IN COURT. THIS MEANS THAT (I) YOU WAIVE THE RIGHT TO HAVE ANY SUCH DISPUTE DECIDED BY A JUDGE OR JURY (EXCEPT AS SET FORTH BELOW), AND (II) YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

CUSTOM HEALTH CENTERS, INC. dba ELEO. AND ITS AFFILIATES (COLLECTIVELY, “CHC”, “ELEO,” “WE,” “US,” OR “OUR”) OWN AND OPERATE THE WEBSITE LOCATED AT WWW.JOINELEO.COM (THE “WEBSITE”). WE REFER TO THE WEBSITE AND ALL OTHER SERVICES PROVIDED BY ELEO COLLECTIVELY AS THE “SERVICES.” IN THESE TERMS OF SERVICE, “YOU” AND “YOUR” REFER TO ANY PERSON USING OR ACCESSING THE SERVICES.

THESE TERMS OF SERVICE (“TERMS”) DESCRIBE YOUR RIGHTS AND RESPONSIBILITIES WITH RESPECT TO THE SERVICES, OUR PRIVACY POLICY, AND ALL APPLICABLE LAWS AND REGULATIONS. CERTAIN PARTS OF THE SERVICES MAY BE GOVERNED BY ADDITIONAL OR SUPPLEMENTARY TERMS, WHICH YOU AGREE TO REVIEW AND ACCEPT.

1. Services Overview, Availability, and Eligibility

Overview of the Services

The Services offered by ELEO through JoinELEO.com may include:

• Providing individuals with health care and wellness information.

• Granting access to a network of licensed physicians authorized in Michigan.

• Facilitating direct-mail pharmacy services.

• Offering technology-driven tools to address certain health concerns.

• Collecting and maintaining health records and related information for use in provider consultations and pharmacy fulfillment services delivered by third-party, unaffiliated providers.

• Delivering administrative support for appointment scheduling and payment processing for both provider and pharmacy services.

• Enabling telecommunications (audio, video, and data) for direct communication, consultations, assessments, and treatment with participating health care organizations and their providers.

These Services are not a substitute for direct medical treatment. Always consult a qualified health care professional for diagnosis and treatment recommendations. NONE OF THE CONTENT ON THE SERVICES WARRANTS THAT ANY PARTICULAR MEDICATION, TEST, OR TREATMENT IS SAFE, APPROPRIATE, OR EFFECTIVE FOR YOU. ELEO DOES NOT ENDORSE OR RECOMMEND SPECIFIC TESTS, PROVIDERS, MEDICATIONS, PRODUCTS, OR PROCEDURES.

Availability

ELEO is headquartered in Michigan and provides Services exclusively to persons located within the United States. We make no representation that our Services—or any materials contained therein—are accessible or appropriate outside the United States. If you choose to access the Services from outside the United States, you do so at your own risk and are responsible for compliance with all applicable local and export laws.

Eligibility

The Services are intended solely for users who meet the following criteria, and by accessing or using the Services, you represent and warrant that:

1. You are at least 18 years old (or, if younger, have the express consent of a parent or legal guardian). Certain Services may require you to be 21 years of age or older; you will be notified if this is the case.

2. You are physically located within Michigan (or another state in which ELEO has licensed providers, as indicated on JoinELEO.com).

3. You accept and agree to comply with these Terms of Service.

Meeting these requirements does not guarantee access to any specific Service. ELEO and its professional partners reserve the right to impose additional eligibility criteria at their discretion, without prior notice.

To use the Services, you must have a compatible device, internet access, and any required software. Standard fees and data charges from your internet or mobile provider may apply.

2. Platform Services

Telehealth Services

JoinELEO.com offers a web platform that enables you to schedule online visits with independent, licensed healthcare professionals (“Providers”) and arrange for mail-order pharmacy fulfillment of any prescribed medications (collectively, the “Services”). Telehealth enables remote delivery of medical care via electronic communications when the provider and patient are not co-located. Benefits may include convenience, discretion, and cost savings.

Telehealth interactions may involve, but are not limited to:

• Electronic exchange of medical records, images, and personal health data.

• Audio, video, and/or data communications between you and your Provider.

• Use of data from connected medical devices, sound recordings, or video files.

Our electronic systems employ industry-standard security protocols to protect the confidentiality, integrity, and availability of your health information against unauthorized access or corruption.

By using the Services, you consent to receive communications (disclosures, notices, messages, and reports) from ELEO, your Provider, and their affiliated organizations electronically—via your JoinELEO.com account, email, or SMS. You agree it is your responsibility to monitor these channels and that ELEO and its Providers shall not be liable for any loss or claim resulting from your failure to read or act on these communications or to follow recommended treatment plans.

No electronic transmission can be guaranteed 100% secure. By accepting these Terms, you accept the risk of electronic delivery and acknowledge that any electronically signed or transmitted information shall have the same legal effect as a handwritten signature.

Your Provider will get your explicit consent to go ahead with telehealth services at the start of your first virtual visit.

Your Relationship with ELEO

ELEO provides a technology platform only; it does not deliver medical services itself. Medical care is provided by independent physicians and their practices who contract with ELEO. All health and wellness resources on JoinELEO.com are provided for informational purposes only and should not be used as a substitute for in-person care when necessary. The decision to pursue any diagnosis or treatment rests solely with you and your chosen Provider. No physician-patient relationship is formed between you and ELEO—only between you and the licensed Provider you select.

ELEO does not warrant the qualifications of any Provider. You are responsible for selecting Providers and choosing whether to follow their recommendations. ELEO takes reasonable steps to verify that Providers hold the licenses and certifications required and may remove any Provider at its discretion for misconduct or policy violations.

You certify that you are physically located in the state you designate on JoinELEO.com. ELEO and its network rely on this certification; if it proves inaccurate, you agree to indemnify ELEO and any Providers or pharmacies you interact with for any resulting claims or costs.

No Insurance Accepted; Your Financial Responsibility

ELEO and its Providers do not participate in any commercial health insurance networks, nor do they participate in federal or state programs such as Medicare or Medicaid. By using the Services, you acknowledge and agree to pay for all Services and products on a cash-pay basis. Neither you nor any entity acting on your behalf will seek reimbursement from any insurance plan or government program for Services obtained through JoinELEO.com. Please refer to Section 14 for additional payment terms.

Pharmacy Services

If a Provider issues you a prescription, you may choose to have it filled by one of the pharmacies in ELEO’s contracted network (“Pharmacy Network”) or by any other pharmacy you designate. You consent to ELEO sharing your personal information, health records, and prescription details with the selected pharmacy to facilitate the fulfillment of your medication.

3. Registration and Account Creation

While portions of the Services are available without an account, certain features require you to register. If you choose to create an account, you agree to:

• Provide true, accurate, current, and complete information about yourself as prompted during registration.

• Maintain and promptly update your account information to keep it accurate and complete.

If you fail to do so, or if ELEO has reasonable grounds to suspect your information is inaccurate, we may suspend or terminate your account and your access to the Services.

You are responsible for safeguarding your account credentials. You agree to:

• Keep your username and password confidential.

• Log out at the end of each session.

• Notify ELEO immediately of any unauthorized use of your account or any other security breach by emailing info@joineleo.com.

You alone are responsible for all activity that occurs under your account. If you suspect your password has been compromised, you must change it immediately. You may not share your password, permit others to use your account, or maintain more than one account. ELEO is not liable for any loss or damage resulting from your failure to comply with these requirements.

4. Privacy

ELEO respects the confidentiality of your personal and health information. Our practices are described in our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand how we collect, use, and share your data.

5. Ownership and License to Use the Services

Ownership

ELEO and its licensors exclusively own all rights, title, and interest in and to the Services and the content, features, and functionality provided therein (collectively, “Services Content”). This includes, without limitation, all software, text, graphics, images, designs, and the overall “look and feel.” You may not copy, modify, distribute, reverse engineer, disassemble, create derivative works of, publicly display or perform, publish, download, store, transmit, sell, or exploit any part of the Services or Services Content except as expressly permitted by these Terms or with ELEO’s prior written consent.

Certain names, logos, and other materials within the Services may be trademarks, service marks, or trade names of ELEO or its affiliates (“Marks”). You agree not to use any Marks without ELEO’s express written permission. All goodwill generated by your use of ELEO’s Marks inures to ELEO’s benefit.

License to Use

Subject to your compliance with these Terms, ELEO grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Services Content solely for your personal, non-commercial use. No other rights are granted, and ELEO and its licensors reserve all rights not expressly granted.

6. User Content and ELEO’s License to Use Such Content

Your Submissions

“User Content” means any information or materials you provide through the Services—whether by data entry, uploads, surveys, forum posts, feedback, or otherwise—including health details, questions, comments, and suggestions. Except as restricted by applicable privacy laws or our Privacy Policy, you agree that all User Content is non-confidential and non-proprietary.

ELEO’s License to Your Content

By submitting User Content, you grant ELEO, its affiliates, service providers, successors, and assigns a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use, reproduce, distribute, modify, publicly display, publicly perform, and otherwise exploit your User Content in any form or medium for purposes including, but not limited to:

• Providing and improving the Services;

• Marketing and promoting ELEO’s offerings;

• Conducting research, analytics, and product development;

• Developing new features, products, or services.

You understand that any User Content you post in public areas of the Services may be visible to, and used by, other users and the general public. ELEO disclaims all liability for any claims, damages, or losses arising from your public User Content.

Access, Monitoring, and Disclosure

ELEO reserves the right to access, preserve, and disclose any information or User Content if required by law or in a good faith belief that such action is necessary to:

• Comply with legal processes or government requests;

• Enforce these Terms or our Privacy Policy;

• Protect ELEO’s rights, property, or safety, or that of our users or the public;

• Prevent fraud or security issues;

• Respond to your customer service inquiries.

7. Copyright Notices

ELEO reserves the right to remove any content, material, or information available on or through our Services at any time, for any reason. ELEO complies with the Digital Millennium Copyright Act (“DMCA”) (17 U.S.C. § 512) and responds to proper notices of alleged infringement. To file a copyright infringement notification, please follow the procedure below.

1. A physical or electronic signature of the person authorized to act on behalf of the copyright owner.

2. Identification of the copyrighted work or works you claim have been infringed.

3. Identification and location (URL or other) of the material you believe is infringing.

4. Your contact information (address, telephone number, and/or email).

5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

8. Restrictions on Use

When using or accessing the Services, you agree not to, and not to attempt to:

• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

• Violate any local, state, national, or international law (including export laws).

• Reverse engineer, disassemble, decompile, or translate any software or components of the Services.

• Distribute or propagate any harmful code (viruses, Trojans, malware) that could damage systems or data.

• Use the Services in any way that infringes the intellectual property or other rights of ELEO or third parties.

• Employ robots, spiders, scrapers, or other automated means to access the Services without ELEO’s prior written permission.

• License, sublicense, sell, resell, transfer, or commercially exploit the Services, Service Content, or User Content.

• Develop competing products or services based on the Services.

• Damage, disable, impair, overburden, or otherwise interfere with the Services or infrastructure.

• Frame or mirror ELEO’s trademarks, logos, or any portion of the Services without consent.

• Post or transmit any content that is unlawful, abusive, defamatory, obscene, threatening, discriminatory, or otherwise objectionable.

• Harass or threaten any ELEO affiliate, Provider, or third party.

• Attempt to gain unauthorized access to the Services or networks.

• Circumvent any security measures or technological protections.

• Remove or alter any proprietary notices or disclaimers.

• Monitor or copy any content for unauthorized purposes.

• Send unsolicited advertising or spam without ELEO’s written consent.

• Copy, aggregate, or reuse Services data to build a competing database or service.

• Encourage others to do any of the above.

9. Disclaimer of Warranties

YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ELEO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

• AVAILABILITY, SECURITY, OR ERROR-FREE OPERATION.

• ACCURACY, COMPLETENESS, OR TIMELINESS OF DATA OR CONTENT.

• FREEDOM FROM VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.

• PROFESSIONAL QUALIFICATIONS OR RECOMMENDATIONS OF ANY PROVIDER OR PHARMACY.

ELEO DOES NOT ENDORSE OR GUARANTEE ANY PROVIDER, TEST, TREATMENT, OR PRODUCT OFFERED THROUGH THE SERVICES. INFORMATION ON JOINELEO.COM IS FOR GENERAL EDUCATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE. DO NOT DISREGARD OR DELAY SEEKING MEDICAL ADVICE BECAUSE OF CONTENT ON THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEO WILL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR RELIANCE ON THE SERVICES OR YOUR INABILITY TO USE THEM, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. USE OF THE SERVICES IS AT YOUR OWN RISK, AND YOU ARE RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA RESULTING FROM DOWNLOADING OR USING CONTENT FROM THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW AND EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION, IN NO EVENT WILL ELEO, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CLAIMS, LIABILITIES, LOSSES, COSTS, OR DAMAGES OF ANY KIND (WHETHER IN TORT, CONTRACT, WARRANTY, STATUTE, OR OTHERWISE), INCLUDING BUT NOT LIMITED TO INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF REVENUE, PROFITS, GOODWILL, USE, DATA, SERVICE INTERRUPTION, DEVICE DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE GOODS OR SERVICES, OR FOR PERSONAL OR BODILY INJURY, EMOTIONAL DISTRESS, OR DEATH, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICES, SERVICE CONTENT, OR ANY OTHER INTANGIBLE LOSSES, EVEN IF ELEO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL ELEO’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE GREATER OF (I) ONE HUNDRED DOLLARS (US $100), OR (II) THE AMOUNT YOU PAID ELEO, IF ANY, FOR ACCESSING THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these limitations conflict with your local law, they may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless ELEO, its affiliates, subsidiaries, and each of their officers, directors, employees, contractors, licensors, suppliers, agents, successors, and assigns (collectively, “Indemnitees”) from and against any and all third-party claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to:

1. Your use of or access to the Services in violation of these Terms;

2. Your fraud, negligence, or willful misconduct; or

3. Any breach or alleged breach by you of these Terms.

12. Third-Party Links and Features on the Services

The Services may include hyperlinks, embedded content, or integrations with third-party websites, applications, or services (“Third-Party Services”). ELEO does not control these Third-Party Services and is not responsible for their content, terms, privacy practices, or availability. Inclusion of any Third-Party Services does not imply endorsement or affiliation. Your use of Third-Party Services is at your own risk, and ELEO shall have no liability for any loss or damage arising from your use of or reliance on such Third-Party Services.

If you access the Services via a Third-Party Service (for example, by clicking a link on another website), only these Terms apply to your use of JoinELEO.com. No agency or partnership is created between ELEO and any third party, and ELEO is not responsible for disputes between you and other users or third parties. You release ELEO and its officers, employees, agents, and successors from any claims arising from such disputes.

13. Changes to the Terms of Service and the Services

ELEO may modify these Terms or the Services at any time, in its sole discretion, with or without notice. Any changes will become effective upon posting on JoinELEO.com (or as otherwise required by law). It is your responsibility to review the Terms periodically. If you do not agree to the revised Terms, your sole remedy is to discontinue using the Services. Continued use after changes are posted constitutes your acceptance of the updated Terms.

You acknowledge that ELEO may, at any time and for any reason, modify, suspend, or discontinue all or any part of the Services without liability to you or any third party.

14. Payments

You agree to pay all fees and charges for Services you request, at the rates and on the payment terms presented at the time of purchase. Prices and availability are subject to change at ELEO’s discretion. By providing payment information and submitting your order, you authorize ELEO (or its payment processor) to charge your designated payment method, including any recurring subscription fees.

You are responsible for all costs of health care and pharmacy services accessed through the platform, even if those services are provided by third-party providers or pharmacies. ELEO collects and remits fees on behalf of its providers and Pharmacy Network; any services or products obtained outside the Network may result in separate charges directly from those providers.

If your payment method expires or a charge is declined, ELEO may suspend access to your Services until you update your payment details. ELEO is under no obligation to provide Services until payment is successfully processed.

Some offerings may be subscription-based (“Subscription Services”). For these, your payment method will be automatically charged at the intervals disclosed at sign-up. You may cancel a subscription at any time prior to the next billing date as specified during enrollment.

All fees are non-refundable except as expressly provided in any separate refund policy displayed at the time of purchase. You remain liable for all charges incurred on your account, including any unauthorized charges.

15. Refund and Treatment Availability Policy

Members acknowledge that all plans are subject to the availability of treatments, supply factors, and external circumstances beyond ELEO’s control and that of its network providers and pharmacies. If a member’s prescribed treatment becomes unavailable, ELEO-network physicians may recommend suitable alternative treatments. Members may choose to accept an alternative treatment or request a refund under these terms:

Refunds for Unavailable Products

If ELEO, through its network pharmacies, cannot fulfill a treatment plan due to supply shortages, FDA regulations, or other factors outside its control, members are eligible for a prorated refund. The refund will equal the unshipped portion of the prepaid monthly plan price, less the cost of any treatments already dispensed.

Switching to an Alternative Treatment

In lieu of a refund, members may request a credit to their ELEO account to apply toward another eligible treatment plan if their original selection is unavailable.

ELEO is committed to clear, fair, and transparent refund processes. Approved refunds will be processed within 30 days of request approval.

Customer Notifications

Members agree to receive notifications about plan changes or alternative options via email at their registered address and must respond promptly to avoid interruptions in therapy.

By purchasing a plan, you confirm your understanding and acceptance of these terms.

16. Termination

These Terms remain in effect as long as you access or use the Services. You may terminate at any time by discontinuing use. Your access rights automatically end if you violate these Terms.

ELEO may suspend or terminate your account and access to the Services, with or without notice, for any reason, including breach of these Terms. Sections that survive termination include Disclaimer of Warranties; Limitation of Liability; Indemnification; Governing Law, Dispute Resolution, Arbitration, Venue, Severability; No Waiver; and Assignment.

Subject to applicable law, ELEO may retain or delete all communications and materials you’ve posted in accordance with its record-retention policies. After termination, ELEO has no obligation to continue Services, except as needed for Providers or pharmacies to fulfill legal or ethical obligations to maintain health records or ongoing care. You agree not to attempt to use the Services after termination; any such attempts will require you to indemnify ELEO for resulting liability.

17. Weight Loss Guarantee Program

ELEO offers a Weight Loss Guarantee Program under which you may be eligible for a refund or account credit if, after strictly following the program as prescribed, you do not lose at least 10% of your body weight within six months. Eligibility requires full compliance with program requirements (e.g., regular check-ins, medication adherence, and lifestyle guidance). By enrolling, you agree that accurate reporting and program adherence are essential.

Eligibility Criteria

1. Medical Suitability: Complete an evaluation and receive approval from an ELEO-network provider. Provide accurate baseline health and weight data.

2. Program Commitment: Adhere to the prescribed plan—weekly medication use, diet and exercise guidance, scheduled follow-ups, and weekly portal check-ins.

3. Community Engagement: Post at least once daily in ELEO’s Member Community.

4. Medication Dosing: Receive 26 consecutive weekly doses of your injectable prescription (compounded semaglutide or tirzepatide, as medically appropriate), ordered through the client portal without missed doses.

Exclusions

You are not eligible if you:

• Have specified medical exclusions (e.g., thyroid cancer, severe eating disorders).

• Are pregnant or breastfeeding.

• Experience hormonal events that affect weight.

• Use non-ELEO-prescribed weight-loss methods or medications during the program.

• Fail to meet the eligibility requirements above.

Verification Process

To request a refund, email info@joineleo.com with your choice of verification method:

1. Healthcare Provider Verification:

   • At your expense, arrange an in-person evaluation by a third-party licensed provider (not a family member).

   • The provider must submit a written attestation (date, your name, starting weight, ending weight, percentage lost) on ELEO’s form within 14 days of your request.

2. Self-Attestation:

   • Record a video of yourself on a calibrated scale in a well-lit setting showing the weight reading and a timestamp.

   • Complete ELEO’s attestation form with the recorded weight and return it with your video.

All submissions will be reviewed for completeness and authenticity. ELEO’s decision is final.

Refund Processing

Approved refunds (prorated to membership fees paid over the first six months) will be issued to your original payment method within 30 days. Incidental costs (e.g., verification fees) are not refundable. Refunds are non-transferable.

18. Governing Law; Dispute Resolution; Arbitration; Venue; Severability

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND ELEO TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

Governing Law

These Terms and your use of the Services are governed by the laws of the State of Michigan, without regard to its conflict-of-law principles. Except for disputes subject to arbitration below, you agree that the sole and exclusive jurisdiction for any legal action or proceeding arising out of or relating to these Terms or the Services shall be the state and federal courts located in Macomb County, Michigan, and you hereby submit to the personal jurisdiction of those courts.

Binding Arbitration

Except as outlined in the “Exceptions” below, you and ELEO agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or communications from ELEO will be resolved by final and binding arbitration on an individual basis. This includes claims based on contract, tort, statute, regulation, common law, or equity and claims that arise before or after the effective date of these Terms. The arbitrator shall interpret and enforce this arbitration provision.

Exceptions

Notwithstanding the foregoing, nothing in this Section 18 will prevent either party from:

• Bringing an individual action in small claims court;

• Filing a lawsuit in court to pursue a claim of intellectual property infringement; or

• Seeking injunctive or other equitable relief in a court of competent jurisdiction in Wayne County, Michigan, to prevent the actual or threatened infringement, misappropriation, or violation of a party’s intellectual property rights.

Arbitration Administrator & Rules

Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (available at www.adr.org), as modified by these Terms. The Federal Arbitration Act governs this Section.

Notice & Initiation

Before initiating arbitration, the claiming party must deliver a written Notice of Dispute to the other party by certified U.S. mail (signature required) or, if no physical address is available, by email.

The Notice must include:

1. Your name and account number (if any).

2. A description of the dispute and the specific relief sought.

The parties will attempt to resolve the dispute informally for 30 days. If unresolved, either party may file a demand for arbitration with the AAA.

Arbitration Procedures

• Venue:  Hearings will take place in the metropolitan area of your billing address in Michigan, unless the claim is for $10,000 or less (and does not seek injunctive relief), in which case you may choose between (i) a document-only arbitration, (ii) a telephonic/video hearing, or (iii) an in-person hearing in the county of your billing address.

• Fees:  ELEO will reimburse your AAA filing fee unless your claim exceeds $10,000 or ELEO has received 25 or more similar demands; in those cases, fees follow AAA rules. If the arbitrator deems your claim frivolous under Federal Rule 11 standards, you may be responsible for all fees.

• Decision:  The arbitrator will issue a reasoned, written award explaining essential findings and conclusions. The award is final and binding, and judgment may be entered in any court of competent jurisdiction.

No Class Actions

YOU AND ELEO AGREE THAT ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS. CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS ARE WAIVED, AS IS ANY RIGHT TO CONSOLIDATE CLAIMS OR PARTICIPATE AS A CLASS MEMBER OR PRIVATE ATTORNEY GENERAL.

Time Limit to File

Any demand for arbitration must be filed within one (1) year after the date the dispute arose; otherwise, the claim is permanently waived.

Severability

If any provision of this Section 18 is found unenforceable, the remainder will remain in full force, and the unenforceable portion will be replaced by an enforceable term that most closely reflects the parties’ intent. Section headings are for convenience and have no legal effect.

19. Communications By Text Message and Email

By opting in to receive text (SMS) messages from ELEO or by sending an initial text to ELEO (“SMS Enrollment”), you consent to receive text messages related to your ELEO account and use of our Services. These may include order confirmations, shipment updates, messages from your healthcare provider, and other transactional notices, as well as promotional and marketing messages if you have opted in.

When you enroll in SMS, you represent and warrant that:

• You are the owner or authorized user of the mobile device used for enrollment.

• You authorize any charges billed by your carrier for messaging and data.

• You are responsible for all messaging and data fees incurred.

• ELEO and mobile carriers are not liable for delayed or undelivered messages.

Your access to ELEO’s Services is not contingent on consenting to marketing texts. You may opt out of any ELEO SMS service at any time by replying “STOP” from the subscribed device. After we receive “STOP,” we may send one final confirmation message, then cease all further texts for that service. If you’ve subscribed to multiple ELEO SMS programs, you must send “STOP” for each one to unsubscribe fully.

Text messages and emails between you and ELEO are not encrypted and may be intercepted. By enrolling in SMS or providing your email, you accept this risk. If you have concerns about privacy or message security, please contact us at info@joineleo.com or consult your wireless provider regarding your plan.

20. Miscellaneous Terms

• No Waiver. ELEO’s failure to enforce any right under these Terms does not waive that right or any other.

• No Agency. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and ELEO. You may not bind ELEO to any obligation.

• Remedies. You agree that breaches of these Terms may cause ELEO irreparable harm. In addition to any legal remedies, ELEO may seek injunctive or equitable relief.

• Assignment. You may not assign your rights or obligations under these Terms. ELEO may freely assign or transfer its rights and obligations without notice.

• Headings. Section headings are for convenience and have no legal effect.

• Entire Agreement. These Terms, together with any additional terms you agree to, constitute the entire agreement between you and ELEO regarding the Services and supersede all prior agreements, whether written or oral.

21. ELEO Special Advertising Offers

From time to time, ELEO may feature special or introductory promotions on JoinELEO.com. All advertised offers expire 24 hours after removal from the website and cannot be redeemed thereafter.

By participating in any ELEO promotion, you agree to these terms and any additional conditions displayed at the time of the offer.

22. Refer a Friend

Introduction and Purpose

The Refer a Friend program (the “Program”) enables current ELEO members (“Referrers”) to share a promotional offer with friends (“Friends”) via a personalized referral link (“Referral Link”). The Program’s goal is to incentivize new customer acquisitions for ELEO, Inc. (“Company”) by offering friends a discount on their first eligible purchase of products or subscriptions on our website (JoinELEO.com). These terms supplement ELEO’s Terms of Service; in the event of conflict, the Terms of Service prevail.

Definitions

• Referrer: An existing ELEO member participating in the Program by referring others.

• Friend: A new customer to ELEO who redeems a Referral Link.

• Referral Link: A unique link issued to a Referrer for sharing with potential Friends.

• Program: ELEO’s Refer a Friend initiative to reward referrals.

• Company: ELEO, Inc.

• Friend’s Reward: A $100 discount applied to the Friend’s first eligible order.

• Referrer’s Reward: A $50 credit applied toward the Referrer’s next eligible order.

• Participant: Either a Referrer or a Friend.

Eligibility Criteria

• Open only to residents of the 49 U.S. states (excluding Florida) and the District of Columbia who are age 18 or older.

• Natural persons acting in their personal capacity; excludes ELEO employees, aggregators, organizations, or business entities.

• Use of multiple accounts, aliases, or identities to manipulate eligibility is prohibited and may result in disqualification and cancellation of all Rewards.

Referral Process

1. Referrer Eligibility: Must be an active ELEO member.

2. Friend Eligibility: Must be a new customer (no purchase at JoinELEO.com in the past 24 months).

3. Using the Referral Link: Friends must place their first eligible order at JoinELEO.com using the Referral Link to receive the Friend’s Reward.

4. Friend’s Reward: $100 off the Friend’s first eligible order, credited to their ELEO account, automatically applied at checkout. Expires 60 days after link issuance and not valid on existing subscriptions.

5. Referrer’s Reward: Upon a Friend’s Qualifying Purchase, the Referrer earns a $50 credit for future orders, payable via PayPal or Stripe, and applied to the Referrer’s ELEO account.

6. Limitations: Referrers may not self-refer or create multiple accounts. ELEO reserves the right to verify and disqualify any ineligible participants.

Rewards

• Redemption: Rewards are redeemable only through the account that earned them. Closed accounts forfeit all Rewards with no cash value.

• Application:

  • On prescription subscriptions, Rewards apply only to platform or membership fees.

  • On non-prescription product subscriptions, Rewards do not cover shipping fees.

• Nature of Rewards: All Rewards are promotional, non-transferable, and not redeemable for cash or gift cards, except as required by law. Rewards cannot be used across multiple accounts.

• Tax Responsibility: Participants are responsible for any taxes resulting from Reward redemption.

Limitations and Exclusions

ELEO reserves the right, in its sole discretion, to modify or terminate the Refer a Friend Program (the “Program”) or these terms at any time, with or without notice. Any such modifications will be effective upon posting on JoinELEO.com. Continued participation after a change constitutes your acceptance.

ELEO may suspend or end the Program at any time for any reason; upon termination, all unused Rewards are forfeited. ELEO may also suspend or terminate any Participant’s eligibility if it suspects abuse, fraud, or violation of these terms or the JoinELEO.com Terms of Service. This includes, without limitation, revoking Rewards obtained through ineligible accounts, unauthorized distribution channels, or in connection with offensive or inappropriate content (e.g., pornography, hate speech, or disparagement of ELEO).

Additional Program limitations:

• A Referrer may earn no more than ten (10) Referrer’s Rewards per calendar year, and only one (1) Referrer’s Reward per distinct Friend.

• Self-referrals and referrals where Friend shares email, IP address, or billing/shipping details with the Referrer are disqualified.

• This Program is not valid in the state of Florida.

• Referral Links may only be shared with personal contacts; distribution via public forums, coupon sites, unsolicited bulk email, paid advertising, or automated systems is prohibited.

• Referrers must disclose to each Friend that they will earn a reward if the Friend makes a Qualifying Purchase, and obtain the Friend’s consent before sharing the Link.

• ELEO may deactivate any Referral Link used in violation of these rules.

• A Friend may redeem only one Referral Link; if multiple are presented, credit goes solely to the Link actually used for the Friend’s first order.

Participants may not assign their rights or obligations without ELEO’s written consent; any unauthorized assignment is void.

Term and Termination

Upon termination of the Program, Referrers lose all rights and obligations under the Program except those that accrued prior to termination. Any Referrer’s Rewards earned but unused at termination remain redeemable for thirty (30) days, subject to these terms. ELEO may modify or end the Program at its discretion and will use reasonable efforts to notify Referrers of material changes, though it is each Referrer’s responsibility to review the Program terms regularly.

Miscellaneous Provisions

If you believe there is an issue with your Referral Link or Reward, please contact ELEO at info@joineleo.com. ELEO may request additional information to resolve any inquiry, and all decisions regarding Rewards are final and at ELEO’s sole discretion.

These Refer a Friend terms supplement the JoinELEO.com Terms of Service. In case of any conflict, the Terms of Service shall govern.
